1. Acceptance of Terms

Welcome to Breakout. These Terms of Service ("Terms") form a binding agreement between you and Breakout Limited (operating as "Breakout") that governs your use of our platform, including our website, draft rooms, content, applications, and related services (the "Services" or the "Platform"). By creating an account or using the Platform, you agree to these Terms.

Breakout currently operates as a free-to-play NBA fantasy sports draft platform. No real-money wagering, deposits, entry fees, or financial transactions are involved in any aspect of the Services.

We may update these Terms from time to time. The "Last Updated" date above indicates when the most recent changes were made, and prior versions are linked at the bottom of this page. Your continued use of the Platform after updated Terms are posted constitutes acceptance of those changes. Material changes — including the introduction of paid features, season-long contests, or live scoring — will be accompanied by updated Terms and, where required, separate user consent.

These Terms may be translated for your convenience. If a translation conflicts with the English version, the English version governs.


2. Eligibility

2.1 Age Requirements

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to use Breakout. During account creation you will be asked to confirm this. That confirmation is a binding representation, and we may request proof of age at any time and suspend or terminate accounts that cannot verify eligibility.

2.2 Geographic Availability

The Services are generally available in all fifty U.S. states and internationally. You are responsible for ensuring that your use of the Platform complies with the laws of your jurisdiction, and we may restrict access in any jurisdiction at our discretion. If we introduce paid features or real-money contests, additional geographic restrictions will apply and updated Terms will be published at that time.

2.3 Eligibility Restrictions

The following persons may not participate in any ranked draft, leaderboard, or promotional campaign on the Platform:

  • NBA players, coaches, referees, team owners, front-office personnel, and employees of the National Basketball Association and its affiliated entities;
  • employees or contractors of our data providers who have access to non-public statistical information;
  • individuals whose accounts have been previously terminated or permanently banned by Breakout. Creating a new account after a permanent ban is itself a violation of these Terms;
  • any person prohibited from using the Services by applicable law.

Breakout Personnel. Employees, officers, directors, and contractors of Breakout Limited may use the Platform, including participating in draft rooms, provided they do not use non-public data, backend analytics, or administrative access to gain a competitive advantage, and disclose their affiliation if asked by another user. They are subject to all conduct rules in Section 6 and are not eligible to win prizes in any public promotional campaign unless the official rules for that campaign expressly permit it.


3. Account Registration and Security

You must create an account to participate in draft rooms, and you agree to provide accurate information including a working email address and a unique username.

Single Account Policy. Each individual may maintain only one active account. Creating or operating multiple accounts to gain any advantage will result in termination of all associated accounts and removal of all standings.

Account Security. Your login credentials are your responsibility. Contact support@breakout.gg immediately if you believe your account has been accessed without authorization. We are not liable for losses resulting from your failure to safeguard your credentials.

Username and Team Name Policy. Usernames, team names, and room names must not contain offensive, discriminatory, misleading, or infringing content. We may require a change or suspend accounts that violate this standard.

3.1 Account Termination and Deletion

You may close your account at any time by contacting support@breakout.gg. Once we verify your identity and account ownership, deletion will be completed within thirty (30) days, subject to the following:

  • We may retain information as required by law, for fraud prevention and record-keeping, or to enforce these Terms.
  • Information already incorporated into aggregated or anonymized datasets will not be deleted, as it is no longer personally identifiable.
  • Content you posted in shared areas, such as draft room chat, may persist after deletion, though your username will be disassociated where technically feasible.
  • Deletion is irreversible. Draft history, saved rankings, draft reports, and leaderboard standings will be permanently removed.

Platform-Initiated Suspension or Termination. Breakout may suspend or terminate your account, with or without prior notice, if you violate these Terms, if we detect or reasonably suspect fraud, collusion, multi-accounting, automation, or other manipulation, if your account poses a security risk, if we are required to do so by law, or if we discontinue the Platform.

On termination we may forfeit your points, badges, draft reports, and standings, remove you from active draft rooms, prevent future account creation from the same email address, device identifiers, or IP addresses, and delete your account data irrecoverably. We may report suspected violations to law enforcement regardless of whether your account has been terminated.

Where feasible we will tell you why an account was suspended or terminated, but not where doing so would compromise an investigation or the security of the Platform.

For what personal information is retained after deletion and for how long, see our Privacy Policy (Section 5).


4. Platform Model

4.1 Current Free-to-Play Model

Breakout operates exclusively as a free-to-play platform. This means:

  • No deposits, withdrawals, or payment methods are required to use any feature of the Platform.
  • No entry fees are charged to enter any draft room.
  • The Platform does not hold, transfer, or transmit funds on behalf of users and does not operate as a money transmitter, payment processor, or financial intermediary.
  • Virtual points, leaderboard rankings, badges, draft grades, and any in-platform tokens exist for entertainment and tracking purposes only. They carry no cash value and cannot be exchanged, sold, transferred, or redeemed for money or anything of value.
  • No financial transactions of any kind are facilitated between users through the Platform.

4.2 Skill-Based Competition

Breakout draft rooms are contests in which outcomes are determined predominantly by participants' skill, knowledge, and strategic decision-making. This includes player evaluation, positional and scarcity judgement, roster construction under a defined scoring system, bid and budget management in auction formats, and real-time adaptation to picks made by other participants.

Draft outcomes and draft evaluation scores are produced by the Platform's own models applied to your selections. They are not determined by the results of any live sporting event, and no aspect of the current Services is settled against real-world game outcomes. This format is materially distinct from daily fantasy wagering, sports betting, and games of chance.

4.3 No Guarantee of Prizes or Rewards

Participation in draft rooms does not entitle you to any prize, monetary reward, gift card, merchandise, or anything of value.

We may offer promotional giveaways or rewards from time to time, governed by separate official rules published at the time of the promotion, and we may modify, pause, or cancel any promotion without prior notice. No user has any claim to compensation based on draft performance or leaderboard position unless expressly stated in a published promotion. Where these Terms conflict with the official rules of a promotion, those rules control for that promotion only.


5. The Mock Draft Tool

5.1 What the Services Currently Include

The Services currently consist of a mock draft tool and supporting content: draft rooms, player rankings, saved player lists, draft evaluation reports, and related informational content.

The Services do not currently include season-long leagues, live game scoring, in-season roster management, trades, waivers, or contests settled against live NBA results. References to such features in our marketing materials describe planned functionality and are not part of the Services you are agreeing to use today.

5.2 Draft Rooms

Draft rooms simulate a fantasy draft. Depending on the room, participants may include other users, automated participants operated by Breakout, or both. We will generally indicate where a room includes automated participants, but room composition may change while a draft is in progress.

You acknowledge and agree that:

  • Draft rooms operate on timed clocks. If you fail to make a selection in time, the Platform may make a selection on your behalf, skip your pick, or remove you from the room, depending on room settings.
  • We may pause, restart, reset, or void a draft room at any time to address a technical fault, data error, suspected manipulation, or abuse.
  • Draft rooms and their results may be removed, archived, or reset as the Platform evolves. We do not guarantee the indefinite availability of any room or its results.
  • Scoring settings, player pools, and room configurations may change between rooms and over time. The settings applicable to a room are shown before you enter it, and it is your responsibility to review them.

Where a room includes chat, Sections 6.3 and 8.3 apply to anything you post in it.

5.3 Rankings and Draft Evaluation

Rankings, projections, player valuations, and draft evaluation outputs — including any draft grade or percentile ranking — are generated by Breakout's models. They are estimates of future fantasy performance, not statements of fact, and are provided for entertainment and informational purposes only. Nothing on the Platform is advice or a prediction of real-world outcomes.

These outputs may change at any time as underlying data, models, or methodologies are updated, including retroactively. A draft evaluated today may receive a different result under a later version of our models, and we may correct data or model errors at any time.

Player images are licensed from third-party providers and may not reflect a player's current team. Where we display player news or editorial content, it is supplied by third parties. We do not author that content and are not responsible for its accuracy.


6. Prohibited Conduct

The following is prohibited and is subject to enforcement action up to and including a permanent ban.

6.1 Competitive Integrity

  • Collusion. Coordinating entries with other users, sharing non-public information, or arranging to manipulate draft outcomes, evaluations, or leaderboard standings.
  • Multi-Accounting. Creating or operating more than one account for any purpose, including entering the same draft room under multiple identities.
  • Insider Information. Using material, non-public information obtained through employment or a position of trust in the sports industry.
  • Draft Manipulation. Deliberately entering non-competitive drafts, repeatedly abandoning rooms, or otherwise disrupting rooms to manipulate evaluations, leaderboards, or other participants' experience.

6.2 Technical Abuse and Data Extraction

You agree not to, directly or indirectly, by manual or automated means:

  • scrape, crawl, spider, harvest, or extract any data or content from the Platform, including player rankings, valuations, projections, and draft results;
  • copy, republish, or redistribute our rankings, valuations, projections, or algorithmic outputs, or use them to build or contribute to any competing product, dataset, or service;
  • use scripts, browser extensions, bots, or any non-human means to enter draft rooms, make selections, or interact with the Platform;
  • decompile, disassemble, or attempt to derive the source code, algorithms, or data models behind the Platform;
  • access or attempt to access APIs, servers, or databases through any means not explicitly provided to you, or bypass rate limits, access controls, or security measures.

Violation of this section is a material breach of these Terms and may result in immediate termination, injunctive relief, and claims for damages including lost revenue and legal fees.

6.3 Community Standards

  • Harassment. Threatening, bullying, intimidating, or abusive behavior toward other users or Breakout staff, whether on or off the Platform.
  • Hate Speech. Content promoting discrimination, hatred, or violence against any individual or group based on race, ethnicity, gender, sexual orientation, religion, disability, or any other characteristic.
  • Impersonation. Misrepresenting your identity or affiliation, including posing as another user, a Breakout employee, or an NBA personality.
  • Spam. Flooding chat or other communication features with repetitive, unsolicited, or disruptive content.

You agree not to use the Platform to:

  • violate any applicable law or regulation;
  • create, upload, transmit, or distribute any content that sexualizes, exploits, or endangers minors in any way;
  • engage in stalking, doxxing, or targeted harassment of any individual, whether on or off the Platform;
  • collect, store, or share personal data of other users without their consent and a lawful basis;
  • facilitate or promote illegal gambling, unlicensed wagering, or any unlawful financial transaction;
  • upload or distribute any virus, worm, ransomware, or other malicious code.

6.5 Enforcement, Reporting, and Appeals

We investigate suspected violations and may issue warnings, suspend or permanently ban accounts, remove content, remove users from leaderboards, void draft results, and report to law enforcement where appropriate. We may act with or without notice, and while we will endeavor to communicate the general basis for an enforcement action, we are not required to give a detailed explanation where doing so would compromise an investigation or the security of the Platform.

To report content or conduct that violates these Terms, use the in-product reporting tool where available, or contact support@breakout.gg.

If you believe an enforcement action was taken in error, you may appeal to support@breakout.gg within fourteen (14) calendar days. We will review appeals in good faith. The determination of the Platform Dispute Authority (Section 10.1) is final as to platform and gameplay matters and does not limit any right you have under Sections 10.2 or 10.3.


The Platform may link to third-party websites, applications, or services we do not own or control. These links are a convenience and do not constitute endorsement. We assume no responsibility for the content, privacy practices, or availability of third-party services, and are not liable for any loss arising from your use of or reliance on them. Your dealings with any third party found through the Platform are solely between you and that party.


8. Intellectual Property

8.1 Platform Intellectual Property

All content, software, designs, logos, trademarks, valuation and projection models, data compilations, and other intellectual property on the Platform are the property of Breakout Limited or its licensors. You are granted a limited, personal, non-commercial, non-transferable, revocable licence to use the Platform in accordance with these Terms.

8.2 Player Data, Likeness, and League Marks

Player names, images, likenesses, and statistical data are sourced from third-party rights holders and data providers and are used for fantasy sports, commentary, identification, informational, and entertainment purposes. This content is for your personal, non-commercial use within the Platform only. You may not reproduce, distribute, or commercially exploit it.

Third-party names, trademarks, logos, images, likenesses, league names, and team names remain the property of their respective owners. Unless expressly stated, Breakout is not affiliated with, sponsored by, or endorsed by the National Basketball Association, the National Basketball Players Association, any NBA team, any player, or any other sports league, governing body, club, team, or athlete.

8.3 User-Generated Content

By submitting content to the Platform — including usernames, team names, room names, chat messages, or profile information — you grant Breakout a worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, store, reproduce, display, modify, adapt, and distribute that content in connection with operating, securing, and promoting the Services. The licence continues for the duration of your account and a reasonable period thereafter to allow for content removal.

You represent and warrant that you have the rights, consents, and permissions needed to submit the content and grant this licence; that it does not infringe or misappropriate any third-party right; and that it does not violate any law.

If you delete your account we will make commercially reasonable efforts to remove your content, except where it has been incorporated into aggregated or anonymized datasets, shared in areas visible to other users, or must be retained for legal, moderation, or compliance purposes.

We may, but are not obliged to, monitor, review, or filter user content, and we may remove, edit, or refuse any content that in our sole judgment violates these Terms, is objectionable, or poses a risk to the Platform or its users. We assume no responsibility for user content and make no guarantees about its accuracy, quality, or legality.

You are solely responsible for your interactions with other users. If you have a dispute with another user, you release Breakout Limited and its officers, directors, employees, agents, and affiliates from all claims and damages of every kind, known and unknown, arising out of that dispute.

8.4 Feedback

If you send us suggestions, feature requests, bug reports, or other feedback, you agree that it contains no third-party confidential information, that we are under no obligation of confidentiality, that we may already have something similar in development, and that you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide licence to use, modify, publish, distribute, and sublicense it, waiving any moral rights. Submitting feedback creates no intellectual property claim or financial entitlement.

Breakout responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, and will terminate the access of repeat infringers in appropriate circumstances.

To submit a notice of infringement or a counter-notification, contact our designated agent below. Notices and counter-notifications must contain the elements required by 17 U.S.C. § 512. On receipt of a valid counter-notification we will forward it to the original complainant and restore the removed material within ten (10) to fourteen (14) business days unless we are notified that a court action has been filed.

9. Disclaimer and Limitation of Liability

9.1 Platform Disclaimer

The Platform is provided on an "as-is" and "as-available" basis, and is actively evolving. You accept the risks inherent in a platform under continuous development, including that:

  • it may contain bugs, errors, or defects affecting functionality, draft rooms, or evaluations;
  • downtime and service interruptions may occur without notice, including during an active draft;
  • errors in rankings, valuations, or evaluations may result from data delays, API issues, model faults, or software bugs, and we cannot guarantee error-free operation;
  • features, room formats, scoring settings, evaluation models, and interfaces may change substantially;
  • data loss, including draft history, saved rankings, or standings, may occur during system updates.

9.2 Disclaimer of Warranties

To the fullest extent permitted by law, Breakout disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, accurate, or error-free.

9.3 Limitation of Liability

To the maximum extent permitted by law, Breakout and its officers, directors, employees, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of the Services, including loss of profits, data, or goodwill, or service interruption, regardless of the legal theory.

To the fullest extent permitted by law, Breakout's total aggregate liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of:

  • the total amount you paid to Breakout for access to the Services in the twelve (12) months before the claim arose; or
  • one hundred U.S. dollars (US$100).

Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot be excluded, restricted, or modified under applicable law.


10. Dispute Resolution

10.1 Platform Dispute Authority

Breakout designates a senior officer ("Platform Dispute Authority") responsible for final decisions on platform and gameplay matters, including draft room rules, evaluation methodology, competitive integrity, account eligibility, and enforcement actions. The Platform Dispute Authority may interpret the rules of the Platform, resolve ambiguities, and act to preserve its fairness. We may reassign this role at our discretion without amending these Terms, provided the designee remains a senior member of the leadership team.

Decisions of the Platform Dispute Authority are final and binding as to platform and gameplay matters only. Nothing in this Section limits, waives, or replaces your rights under Sections 10.2 to 10.5 or under applicable law. Legal claims are resolved under those Sections.

10.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact legal@breakout.gg and attempt to resolve the dispute informally for at least thirty (30) calendar days.

10.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or your use of the Services will be resolved through binding arbitration administered by the Abu Dhabi International Arbitration Centre ("arbitrateAD") in accordance with the arbitrateAD Arbitration Rules then in effect, before a single arbitrator.

The arbitration shall be conducted in English. The seat of arbitration shall be the Abu Dhabi Global Market, Abu Dhabi, United Arab Emirates. Hearings may be conducted remotely by videoconference at the arbitrator's discretion.

The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction, including the ADGM Courts. The arbitrator may award the same remedies available in court but has no authority to conduct any form of class or representative proceeding.

Breakout may seek injunctive or other equitable relief in the ADGM Courts or any court of competent jurisdiction to protect its intellectual property rights, confidential information, security, or platform integrity pending the completion of arbitration.

Arbitration Fees. For any claim brought by a user where the amount in controversy is less than ten thousand U.S. dollars (US$10,000), Breakout will pay all arbitration filing, administrative, and arbitrator fees, provided the arbitrator does not determine the claim to be frivolous or brought in bad faith. For claims of US$10,000 or more, each party bears its own costs in accordance with the applicable rules, subject to the arbitrator's authority to reallocate fees. Each party bears its own attorneys' fees except where fee-shifting is permitted by law or awarded by the arbitrator.

Small Claims Exception. Either party may bring an individual claim in a small claims court of competent jurisdiction in lieu of arbitration, provided the claim qualifies and is not consolidated with claims of other persons.

Opt-Out Right. You may opt out of this arbitration agreement, but not the rest of these Terms, by sending written notice to legal@breakout.gg within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address on your account, and a clear statement that you wish to opt out. Opting out will not adversely affect your use of the Services.

10.4 Class Action and Jury Trial Waiver

You and Breakout each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You waive any right to a trial by jury. If this waiver is found unenforceable as to any claim or remedy, that claim or remedy alone must be severed from the arbitration and resolved in the ADGM Courts, while all other claims remain subject to arbitration.

10.5 Governing Law and Venue

These Terms are governed by the laws of the Abu Dhabi Global Market, United Arab Emirates, without regard to conflict of law principles. Litigation not subject to arbitration shall be brought exclusively in the ADGM Courts. Where mandatory local laws apply and cannot be waived, those laws apply to the extent required.

10.6 Limitation Period

To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after it accrues, after which it is permanently barred.

Savings Clause. This one-year period does not apply: (i) where the law of your jurisdiction mandates a longer limitations period that cannot be contractually shortened, including mandatory consumer protection laws in the European Union, United Kingdom, Australia, and certain U.S. states; (ii) to claims for equitable relief; (iii) to claims for personal injury or death where shortening is prohibited; or (iv) to claims that may not be contractually time-barred. In any such case the shortest limitation period permitted by mandatory law applies.


11. Modifications to Service

We may modify, update, suspend, or discontinue any part of the Services — including features, room formats, scoring settings, evaluation models, or the Platform itself — at any time, with or without notice and without liability. We will make reasonable efforts to communicate significant changes in advance, though some changes such as emergency maintenance or critical bug fixes may need to happen immediately. Your continued use of the Platform after a modification constitutes acceptance of it.


12. Indemnification

You agree to indemnify, defend, and hold harmless Breakout Limited and its affiliates, officers, directors, employees, and agents from any claims, demands, causes of action, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) any content you submit, post, or transmit; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right; (e) your violation of any law or regulation; or (f) any dispute between you and another user.

We may, at our sole expense, assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate in asserting available defenses.


13. Privacy

Your use of the Platform is governed by our Privacy Policy, incorporated into these Terms by reference and available at https://breakout.gg/privacy. Because the Platform is restricted to users aged 18 and older, we do not knowingly collect or process personal information from minors.


14. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and the official rules of any specific promotion, constitute the entire agreement between you and Breakout regarding the Services. The Privacy Policy controls on privacy matters; a promotion's official rules control for that promotion.

Severability. If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

Waiver. Failure to enforce any right or provision is not a waiver of it.

Assignment. You may not assign your rights under these Terms without our prior written consent. Breakout may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, corporate transaction, or by operation of law.

Force Majeure. We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet or telecommunications failures, power outages, cyberattacks, security breaches, labour disputes, or data provider interruptions.

Survival. The following survive termination of these Terms and your account: Account Termination and Deletion (3.1), Third-Party Links and Services (7), Intellectual Property (8), Disclaimer and Limitation of Liability (9), Dispute Resolution (10), Indemnification (12), Privacy (13), and any other provisions that by their nature are intended to survive.

Electronic Communications. By creating an account you consent to receive electronic communications from Breakout — service announcements, administrative messages, product updates, and changes to these Terms — by email, in-app notification, or push notification, and you agree these satisfy any legal requirement that communications be in writing. You may adjust notification preferences in your account settings, though security alerts and legal notices cannot be opted out of while your account is active.

Notices. Legal notices to Breakout go to legal@breakout.gg. Notices to you go to the email address on your account.

International Users. These Terms apply globally to the fullest extent permitted by law. Nothing in them excludes, restricts, or modifies any consumer right or remedy that cannot be excluded under the mandatory laws of your jurisdiction, including the Australian Consumer Law, the EU Unfair Contract Terms Directive, the UK Consumer Rights Act 2015, or equivalent statutes. Where the arbitration provision (10.3), class action waiver (10.4), limitation of liability (9.3), limitation period (10.6), or disclaimer of warranties (9.2) conflicts with mandatory local law, that law prevails to the extent of the inconsistency.

California Residents. Under California Civil Code Section 1789.3, California users are entitled to the following notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210. The Services are provided by Breakout Limited, whose contact details are in Section 15.
